State filing documents
Articles of Organization (or Certificate of Formation, depending on state) — the state-stamped filing that creates the LLC.
Certificate of Good Standing — proves the LLC is current with the state. Banks and clients ask for this regularly.
Registered Agent designation — required in every state; can be the owner or a paid service.
Federal & tax
EIN (Employer Identification Number) — apply free at irs.gov/ein. Required for a business bank account, hiring, and most tax elections.
S-Corp election (Form 2553) if you elected S-Corp taxation. Deadline is 2 months and 15 days after formation for the first year.
State tax registrations — sales tax, employer withholding, unemployment insurance if you have employees.
Operating documents
Operating Agreement — even single-member LLCs need one. Courts use it to determine whether the LLC actually operates separately from you (piercing the corporate veil).
Membership certificates — proof of ownership percentages. Critical for future partners, sales, or estate planning.
Banking & licensing
Business bank account opening documents. Business licenses and permits specific to your city and industry.
